Mentor  Terms of Service 

The Mentor Terms of Service are a supplementary component of the overarching Coffee Terms of Service. This document outlines the specific provisions that apply to Mentors, referencing definitions and terms that are primarily established in the Coffee Terms of Service. Any capitalized terms not specifically defined within the Mentor Terms of Service retain their meanings from the broader Terms of Service. As Additional Terms, all stipulations from the primary Terms of Service extend to the Mentor role, collectively encompassed under the term “Terms.”

1. Your Obligations

As a Mentor, it is essential that you diligently meet the demands of mentees when utilizing our Service to communicate with the Mentees exclusively.

  • Coffee Live: Through our platform, a Mentee may opt to schedule one or several Coffee Live Sessions with you, which you are obligated to accommodate. You have the liberty to determine your own schedule by setting available timeslots on our platform; these times must be genuinely open for booking by Mentees. You commit to promptly joining these sessions and to actively participate in any relevant content during the session, using only the communication tools provided by our Service. Coffee reserves the exclusive right to reject any Mentee’s request and will not compensate for any requests that are declined, cancelled, or unmet. Any communication regarding Coffee Live must occur solely within the confines of our Service. Additionally, Coffee is entitled to keep a record of the session for its purposes. You are prohibited from revealing any confidential, private, or sensitive information about a third party during a session without explicit written consent from the concerned party.
  • When you engage with third parties, such as Mentees, through our Service, these dealings are strictly between you and the third party. Nonetheless, Coffee reserves the right to intervene in disputes at its discretion, and you agree to cooperate with Coffee in such instances. You also recognize and accept that Coffee is not liable for any damages, losses, costs, expenses, or liabilities that may arise from these interactions.
  • Sign-Up Process: To initiate use of our services, you must complete the sign-up process. During this process, you commit to supplying truthful, precise, up-to-date, and comprehensive details about yourself as required by our sign-up form and any additional data we may deem necessary (“Registration Data”). You must also ensure the continued accuracy and completeness of this data. Failure to maintain such standards or if it is determined by us that you have not met these requirements, we reserve the authority to either suspend or terminate your service access and account. You are prohibited from establishing an account under a fictitious identity or false details, on behalf of someone else (with the exception specified for Organizations), or if you are a previously removed or banned user from our services. The security of your account credentials, including your email and password, falls under your responsibility. You must safeguard all activities related to your account and promptly inform us of any unauthorized uses or breaches of your account. By agreeing to these terms, you understand that we hold no liability for any adverse outcomes stemming from unauthorized use or access to your account.
  • Mentors eligible to register on our platform must be legally recognized as adults in their place of residence, with a minimum age requirement of 18 years. When you sign up, you confirm and guarantee that you meet the legal age threshold, are able to enter into legally binding agreements, are not prohibited from accessing our services by any laws applicable to you, and agree to abide by all relevant laws and regulations concerning your activities on our platform. Additionally, you agree to hold harmless and indemnify Coffee for any breaches of these obligations. 

  • Organizations: Entities such as management companies, managers, agencies, agents, publicists, or similar parties (collectively referred to as “Organizations”) may enroll a Mentor (“Affiliated Mentor”). In enrolling, the Organization affirms and guarantees both on its own behalf and on behalf of each Affiliated Mentor that:

    1. The Organization acts as the legal representative for the Affiliated Mentor and, where the Affiliated Mentor is a minor (under 18 years), has obtained the necessary consent from the Affiliated Mentor’s parent or guardian in accordance with these Terms;
    2. both the Organization and the Affiliated Mentor are legally eligible to utilize our Service according to the laws of their respective residences or any other relevant jurisdictions; and
    3. the Organization will adhere to all relevant legal and regulatory requirements concerning the participation of the Affiliated Mentor in our Platform as stipulated in these Terms, and will hold Coffee harmless for any non-compliance.

  • Rights to Use Personal Attributes. Mentor authorizes Coffee to utilize Mentor’s name, portrait, physical likeness, voice, personal characteristics, and life details indefinitely and universally. This license allows for the use of these elements in various promotional, marketing, advertising, and publicity efforts concerning the Service and its related rights. This permission extends worldwide and applies to all current and future media formats.

2. Compensation and Financial Terms

As part of our agreement, you will receive 80% minus payment processing fees of the actual revenue generated from your Coffee Live Sessions with Mentees.

  • Fees: Our platform retains a 20% commission on each transaction to cover various service-related expenses, inclusive of all applicable taxes. This commission rate is subject to future adjustments.You possess the authority to establish your own pricing for each session offered.

You agree and confirm that:

  1. Coffee will not make any deductions from your earnings for third-party fees or commissions, including but not limited to payments made to managers, agents, attorneys, representatives, or service providers that may be involved in the operations covered under our Service.
  2. Additionally, Coffee holds no responsibility for managing or contributing to Social Security, retirement plans, unemployment insurance, pension funds, or any similar statutory or union-mandated contributions or withholdings related to the payments you receive from our Service.
  • Payment: As a Mentor, you are responsible for any fees associated with payment processing incurred through our current billing partner, Stripe. These fees will be subtracted from your payments. For more information about these fees, please visit stripe.com. You must enroll with Coffee’s chosen payment provider, currently Stripe, though Coffee reserves the right to change payment providers at its discretion. Compliance with the terms of any payment provider is required, and selection of alternative payment providers is not permitted. You must supply Coffee and/or the chosen payment provider with all necessary details to facilitate the receipt of your payments. Payments are processed and disbursed within 15 days following a completed Coffee Live Session. Payments will be made in EUR. Failure to provide required information may result in an inability to receive payments, for which Coffee will not be liable for any resulting damages, losses, or other consequences. You understand that Coffee does not own, manage, or control the third-party payment providers it uses, and your interaction with any payment provider will be governed by that provider’s terms and conditions and privacy policies. Coffee is not liable for issues arising from delays or failures caused by third parties, unforeseen events, or your own delay in setting up or properly managing your payment provider account. Unless otherwise stated by Coffee, all fees incurred through the use of a payment provider are your responsibility. Furthermore, if Coffee suspects any fraudulent activity, money laundering, or other legal violations associated with the service, it retains the right to withhold or reclaim payments deemed to be potentially connected to such unlawful activities.
  • Cancellations: Should you find it necessary to cancel or not fulfill a “Coffee Live” Session, it’s agreed that you will issue a complete refund of all related expenses to Coffee within a 30-day period following the cancellation date. You permit Coffee to deduct these expenses from any payments due to you.
    Alternatively, if you withdraw from a request before a Coffee Live Session takes place, or if you miss a scheduled session, you are committed to providing an extra session to the impacted user. This additional session must be scheduled at no extra charge to either the user or Coffee, and it should occur within 10 days of the initial session date.

3. Mentor Materials

By sharing or creating any photos, videos, texts, and other materials with or for us, you provide us with an extensive license to use these materials. We may distribute and communicate these materials in multiple formats, such as digital or print.

  • Licenses: It is important to acknowledge that the permissions provided in this section are granted on a fully-paid and royalty-free basis. This implies that apart from the remuneration described in Section 2, no further payments are owed to you for our usage of your Coffee materials, whether by us, Mentees, or others. These rights can be utilized globally, and we reserve the right to sublicense these rights as necessary to support and enhance our Service or as otherwise stipulated in these Terms. Additionally, the licenses outlined in this Section 3 are perpetual, ensuring that the rights remain in effect even after your discontinuation of our Service.

  • Mentor Declarations and Guarantees: You declare and guarantee that:

    1. you possess full ownership rights to your Coffee materials and have the authority to bestow the rights outlined in these Terms;
    2. you have settled and will continue to settle all fees, royalties, or other financial obligations that may arise from the creation, distribution, or usage of your Coffee material;
    3. your adherence to these Terms and your provision of services do not conflict with any third-party agreements you might hold;
    4. your Coffee materials do not violate, misappropriate, or utilize without proper authorization, any third-party intellectual property, privacy, publicity, or moral rights, nor do they contravene any laws, regulations, or judicial orders;
    5. you will refrain from disclosing any Coffee material requested to be confidential by the Mentee and will not seek authorization from us to share or create such material;
    6. you will limit your interactions with any Mentee met via our Service exclusively to the provision of Coffee Live sessions as facilitated by our Service;
    7. you will not share your contact details with any Mentee, nor will you send them merchandise or any items not approved by these Terms;
    8. you agree to refrain from altering, editing, modifying, or removing any watermarks from the Coffee material or aiding others in such activities; and
    9. you will not recreate any Coffee material unless specifically requested by us.

  • Account Termination: Should you decide to terminate your account, please provide us with a written notification at least three (3) business days prior to cancellation, if you wish to have your name removed from the Coffee platform listings.
